The Matuzalem case (CAS 2008/A/1519 & 1520) represents a historic turning point in international sports law. It redefined how financial compensation is calculated for unilateral contract termination without just cause under Article 17 of the FIFA Regulations on the Status and Transfer of Players (RSTP).

Furthermore, the subsequent ruling by the Swiss Federal Supreme Court (4A_558/2011) established a unprecedented boundary: a Court of Arbitration for Sport (CAS) award can be annulled if it violates substantive public policy (ordre public).

1. Background and factual matrix

In 2004, Brazilian midfielder Francelino Matuzalém signed a five-year employment contract with Ukrainian club FC Shakhtar Donetsk.

In July 2007, after the expiration of the three-year protected period, Matuzalém unilaterally terminated his contract without just cause. Shortly after, he signed with Spanish club Real Zaragoza, which had agreed to indemnify the player for any financial consequences resulting from his departure.

Shakhtar Donetsk filed a claim before the FIFA Dispute Resolution Chamber (DRC) seeking over €25 million in compensation for breach of contract.

2. The CAS award: moving beyond the Webster precedent

In November 2007, FIFA’s DRC awarded Shakhtar €6.8 million in compensation, holding Matuzalém and Real Zaragoza jointly and severally liable. Both parties appealed the decision to the CAS.

In its award dated 19 May 2009, the CAS panel drastically increased the compensation to €11,858,934.

This decision marked a clear departure from the earlier Webster case (CAS 2007/A/1298), which calculated compensation based primarily on the residual value of the player’s remaining salary. In Matuzalem, the panel held that compensation under Article 17 RSTP must reflect the actual damage suffered by the club, incorporating:

  • The player’s sporting value and status as team captain.
  • The timing of the breach (just prior to UEFA Champions League qualifiers).
  • The replacement cost and the specificity of sport.

3. The Swiss Federal Supreme Court ruling: a landmark event

Because Matuzalém and Real Zaragoza failed to pay the €11.8 million award, FIFA’s Disciplinary Committee imposed a ban prohibiting Matuzalém from participating in any football-related activity worldwide until the amount was paid in full.

Matuzalém challenged this sanction before the Swiss Federal Supreme Court (Tribunal Fédéral). On 27 March 2012, the Supreme Court took the historic step of annulling the CAS award.

The Court ruled that an unlimited, open-ended ban from practicing one’s profession constituted an excessive restriction on personal and economic freedom, directly violating fundamental substantive public policy (ordre public) under Article 190(2)(e) of the Swiss Private International Law Act (PILA).
